Terms of Service for Alterion

1. Description of Service

Alterion is an AI-powered assistant for freight forwarders, designed to operate on various third-party freight marketplace websites. The Service includes, but is not limited to:

• Automating freight negotiations through AI agents.
• Highlighting potentially profitable freight offers based on user-defined criteria.
• Providing templates and tools for quick messaging and communication.
• Republishing multiple freight offers.

The Service is intended to be a tool to assist you. You are solely responsible for all final decisions, communications, bids, and agreements made using the Service.

2. User Accounts

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information as prompted by the registration form.
• Maintain the security of your password and identification.
• Be fully responsible for all use of your account and for any actions that take place using your account.

3. User Responsibilities and Conduct

You agree to use the Service in compliance with all applicable laws and regulations. You are solely responsible for:

• Your conduct and any data, text, information, and content you submit, post, and display on the Service.
• Complying with the terms of service of any third-party freight marketplaces or websites you use in conjunction with Alterion.
• Verifying the accuracy and appropriateness of any information generated or actions taken by the AI on your behalf before finalizing any agreements or contracts.
• Any financial or business outcomes resulting from negotiations or agreements made using the Service.

You agree not to use the Service to:

• Engage in any fraudulent, defamatory, or illegal activities.
• Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
• Attempt to gain unauthorized access to the Service or its related systems.

4. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Alterion and its licensors. The Service is protected by copyright, trademark, and other laws of Poland and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Alterion.

5. Third-Party Services

The Alterion extension is designed to interact with third-party freight marketplace websites. We are not affiliated with, nor do we endorse, these third-party platforms. We are not responsible for the content, policies, or practices of any third-party websites or services. You acknowledge and agree that Alterion shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

6. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

7. Disclaimer of Warranties and Limitation of Liability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Alterion, its directors, employees, partners, agents, suppliers, or affiliates, shall not be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• (i) your access to or use of or inability to access or use the Service;
• (ii) any conduct or content of any third party on the Service;
• (iii) any content obtained from the Service; and
• (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

You expressly understand and agree that you bear all risks associated with the use of the AI features of the Service, and you are solely responsible for any agreements, contracts, or business decisions made.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of Poland, without regard to its conflict of law provisions.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
